Agreement to terms

By accessing or using Priyion websites, applications, or APIs (collectively, the "Service"), you agree to these Terms of Service and our Privacy Policy, Acceptable Use Policy, Risk Disclosure, and Refund Policy. If you do not agree, do not use the Service.

Services

Priyion is an educational and research platform that helps users understand public prediction market data. The Service provides structured reports, data visualizations, market scanners, and analytical tools designed to make complex quantitative information accessible. Features may include saved reports, watchlists, alerts, market scanners, and billing management. The Service is strictly informational and educational — it does not provide financial advice, execute trades, custody assets, or hold private keys on your behalf.

Eligibility and accounts

You must be able to form a binding contract in your jurisdiction and must comply with applicable laws and third-party platform rules. You are responsible for account credentials and for activity under your account. Authentication may be provided by Clerk; your use of Clerk is also subject to Clerk's terms and privacy notice.

No professional advice; third-party platforms

Priyion is an educational research tool. The Service does not provide legal, tax, investment, or financial advice. Outputs (including labels, scores, summaries, market scans, or alerts) are deterministic research outputs generated by defined algorithms applied to public data — they are not recommendations, suggestions, or solicitations to buy, sell, or hold any instrument, contract, or position. No output should be interpreted as a recommendation to take any action.

The Service may reference or link to third-party platforms (for example, Polymarket). Third-party sites and APIs are not controlled by Priyion. Your use of third-party services is at your own risk and subject to their terms. Any decision to participate in prediction markets is yours alone.

Independence from Polymarket

Priyion is not affiliated with, endorsed by, sponsored by, or officially connected to Polymarket or its affiliates. References to Polymarket describe data sources and user workflows only. Any trademarks belong to their respective owners.

Acceptable use

You must comply with our Acceptable Use Policy. We may suspend or terminate access for conduct that creates legal, security, abuse, or operational risk.

Subscriptions and billing

Paid plans may be offered and processed by Dodo Payments. Fees, taxes, renewal terms, and cancellation flows are presented at checkout and in the customer portal when enabled. If payment fails or chargebacks occur, we may suspend paid features.

We may change plans or pricing with reasonable notice. Continued use after changes become effective constitutes acceptance of the updated terms where permitted by law.

Intellectual property

Priyion retains all rights in the Service, branding, and software. We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal research purposes in accordance with these Terms.

You retain rights in content you submit (for example, links you paste). You give Priyion permission to process that content to provide the Service, including storing reports and configuration you choose to save.

Disclaimers

THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

We do not warrant that data will be accurate, complete, timely, or uninterrupted. Market data may be delayed, incomplete, or erroneous due to upstream systems.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRIYION AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE OR THIRD-PARTY PLATFORMS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRIYION'S AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID PRIYION FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain limitations; in those cases, limitations apply to the fullest extent allowed.

Indemnity

You will defend, indemnify, and hold harmless Priyion and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of applicable law or third-party rights.

Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access if we reasonably believe you violated these Terms, create risk, or must comply with law. Upon termination, certain provisions survive, including disclaimers, limitations of liability, and indemnity.

Data handling after termination is described in our Privacy Policy.

Changes

We may modify these Terms by posting an updated version and updating the "Last updated" date. If a change is material, we will provide notice where required by law. See also our FAQ.

Miscellaneous

Governing law and dispute resolution: These Terms and any dispute arising from or relating to the Service will be governed by and construed in accordance with the laws applicable to the jurisdiction in which Priyion operates, without regard to conflict-of-law principles. Any dispute that cannot be resolved informally will be submitted to binding arbitration administered by a recognized international arbitration body, conducted in English. You agree that any claim must be brought individually and not as part of a class action or representative proceeding.

These Terms constitute the entire agreement regarding the Service and supersede prior understandings on the same subject. If any provision is unenforceable, the remaining provisions remain in effect.

Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
